Terms of Service

These Terms of Service ("Terms") form a binding contract between you and SKYERA F.Z.E, a free-zone establishment registered in Ajman Free Zone, United Arab Emirates, with its registered office at Office C1-1F-SF0324, Ajman Free Zone C1 Building, P.O. Box 932, Ajman, United Arab Emirates ("Skyera", "we", "our", or "us").

By accessing, browsing, registering for, or using ToolsforWriting.com or any feature, tool, content, or subscription provided through it (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, our Acceptable Use Policy, and our Copyright & DMCA Policy.

If you do not agree, you must not use the Service. Continued use after a material update to these Terms constitutes acceptance of the updated version.

You may use the Service only if you:

• are at least 16 years old, or older where required by your local law;
• have the legal capacity to enter into a binding contract in your jurisdiction;
• are not barred from receiving the Service under the laws of the United Arab Emirates, your country of residence, or any other applicable jurisdiction;
• are not located in, or a resident of, any jurisdiction subject to a comprehensive economic embargo by the UAE, the United States, the United Kingdom, or the European Union.

If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

When you create an account you are asked to expressly accept these Terms and our Privacy Policy. We record the version, timestamp, IP address, and user agent of that acceptance as evidence. If we update these Terms in a material way, we may require you to accept the new version before continuing to use the Service.

ToolsforWriting.com provides a suite of online writing tools, including (a) browser-based text utilities (word counter, case converter, formatting tools, etc.) and (b) AI-assisted writing features such as paraphrasing, summarization, grammar checking, humanization, tone adjustment, translation, AI-content detection, and plagiarism estimation (the "AI Tools").

The Service is offered through two tiers: a free tier with rate-limited access to browser-based and selected AI tools, and a paid "Pro" subscription tier with higher monthly limits on AI Tools.

The Service, including all AI Tools, is provided on an "as is" and "as available" basis. Outputs of AI Tools are generated by third-party machine-learning models and may be inaccurate, incomplete, biased, outdated, or misleading.

You are solely responsible for reviewing, verifying, and deciding whether to rely on or publish any output. The Service is not a substitute for legal, medical, financial, academic, or other professional advice.

Tools that estimate whether text is AI-generated or that compare text against public sources (including any feature labelled "AI Content Detector", "AI Detector", "Plagiarism Checker", or similar) produce indicative results only. They are probabilistic, can return false positives and false negatives, and must not be used as the sole basis for academic, disciplinary, employment, journalistic, or legal decisions.

We expressly disclaim any liability arising from your reliance on, or any third party's reliance on, the output of these tools. By using them you accept this limitation.

We may add, change, suspend, or discontinue any part of the Service at any time, with or without notice, including the AI Tools, Pro features, integrations, and pricing tiers. We are not liable to you or any third party for any modification, suspension, or discontinuation.

You must provide accurate and complete information when you register, and keep it up to date. You are responsible for:

• safeguarding your credentials and any authentication tokens issued to you;
• all activity that occurs under your account (including any AI Tool usage and any charges incurred);
• promptly notifying us of any suspected unauthorized access or breach.

You may not create more than one account, share your account, transfer your account to another person, or create accounts using false identities or automated means. Creating multiple accounts to evade quota limits, rate limits, payment obligations, suspensions, or bans is a material breach of these Terms and may result in immediate termination without refund.

Free tier: available to registered users subject to rate limits and fair-use restrictions. Free-tier access to AI Tools is metered (per month, per operation, or by character count) and may be reduced or removed at our discretion.

Pro tier: a paid subscription billed monthly or annually as shown on our pricing page. Pro provides higher monthly allowances on the AI Tools. Specific limits are displayed on the pricing page and may be updated from time to time.

All prices are listed in US dollars unless otherwise stated. Prices exclude VAT and other applicable taxes, which will be added at checkout where required. You are responsible for all taxes, duties, and withholdings applicable to your subscription other than taxes on our net income.

Payments are processed by Stripe Payments Europe Ltd. and its affiliates ("Stripe"). By subscribing you agree to Stripe's applicable terms and you authorize us and Stripe to charge your selected payment method for all fees due, including taxes, on a recurring basis until you cancel. We do not store full card numbers or CVV codes on our servers.

Your Pro subscription renews automatically at the end of each billing period at the then-current price for your selected plan, unless you cancel before the renewal date. You may cancel at any time from your account settings or the Stripe customer portal. Cancellation takes effect at the end of the current paid period.

We may change subscription prices. For existing subscribers we will provide at least 30 days' prior notice of any price increase by email or in-product notification. The new price takes effect at your next renewal after the notice period. You may cancel before the new price takes effect; continued use after the new price takes effect constitutes acceptance.

From time to time we may adjust the monthly allowances of the Pro plan (such as the AI run cap, character cap, or saved-document limit), the set of features included in Pro, or the technical limits we apply to the Service. Adjustments that increase your allowances, add features, fix bugs, or otherwise do not reduce the value of your subscription take effect immediately on the next billing cycle.

If we make a material adverse change to the Pro plan you are currently subscribed to — for example, reducing your monthly AI run allowance by more than 25%, materially reducing the character allowance, or removing a Pro feature you have actively used in the last 30 days — we will notify you by email at least 30 days before the change takes effect. During the notice period you may cancel your subscription from your account settings; if you cancel before the change takes effect, we will refund the pro-rated unused portion of any prepaid annual subscription for the remainder of that term. Continued use of the Service after the change takes effect constitutes acceptance of the new plan terms.

Changes driven by third-party provider outages, regulatory requirements, security incidents, or sudden abuse-driven cost spikes may take effect on shorter notice where reasonably necessary to protect the Service and our users. In such cases we will provide as much notice as is practicable.

If a charge fails we may retry the charge, suspend Pro access, downgrade you to the Free tier, or terminate the subscription. We are not obliged to provide make-up credits for periods during which Pro access was suspended due to failed payment.

We offer a 7-day money-back guarantee on your first Pro subscription. If, within 7 calendar days of your initial purchase, you decide the Service is not for you and you have used fewer than 50 AI runs on the Pro tier (across paraphrasing, grammar, summarization, humanization, tone adjustment, translation, AI detection, and plagiarism check combined), you may request a full refund of the fees you paid. To request a refund, email [email protected] from the address associated with your account with the subject line "Refund request" and your order reference. We will process eligible refunds within 14 days to the original payment method.

Longer statutory periods may apply. Where the mandatory consumer-protection law of your country of residence provides a longer cooling-off or withdrawal period — for example, 14 days for consumers resident in the European Economic Area or the United Kingdom under the EU Consumer Rights Directive 2011/83/EU and equivalent UK regulations — the longer statutory period applies and prevails over the 7-day guarantee above. See Section 4.9 for details.

The guarantee does not apply to:

• renewals after the first billing period (only the initial purchase qualifies);
• accounts that have used 50 or more AI runs in the refund window;
• users who have previously received a refund from us (one refund per person, lifetime);
• accounts terminated for breach of these Terms or the Acceptable Use Policy;
• accounts that show patterns of refund abuse (e.g. repeated sign-ups and refunds, multi-accounting, payment fraud);
• partial periods after the refund window (no pro-rated refunds for the unused portion of a paid period).

We may, in our sole discretion, decline a refund request that shows clear signs of bad-faith use (for example, mass-generating output and then requesting a refund, or evidence of the account being used to evade earlier termination). Refund decisions are made manually after a brief review and are not automated.

If you are a consumer resident in the European Economic Area or the United Kingdom, you have a statutory right to withdraw from your subscription within 14 days of purchase, without giving a reason, under the EU Consumer Rights Directive 2011/83/EU and equivalent UK regulations (the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013).

This 14-day statutory right prevails over the 7-day money-back guarantee in Section 4.8 for EEA and UK consumers. To exercise it, email [email protected] from the address associated with your account, within 14 days of the initial transaction, including your name, order reference, and date of purchase. We will refund the fees paid using the same payment method as the original transaction, in line with applicable law.

We do not require you to waive your statutory withdrawal right at checkout. By completing checkout you confirm that the Pro Service may begin immediately so you can start using it right away. If you later withdraw within the 14-day statutory window, the law allows us to deduct a proportionate amount for the Service actually supplied before withdrawal; where you have made substantial use of the Service (for example, by performing more than 50 AI runs), we may apply that proportional deduction, but we will not seek to deny the withdrawal right itself.

Statutory rights vary in other jurisdictions. Where local mandatory law provides you with a broader or longer right than the one described in Sections 4.8 or 4.9, that local right applies and prevails.

The AI Tools send the text you submit (the "Input") to third-party machine-learning providers, including Anthropic, Google (Gemini), and Perplexity, for processing. The model returns a response (the "Output") which we deliver to you. We may log a subset of metadata about each call (model, token counts, latency, error codes) to operate, secure, and bill the Service, as described in our Privacy Policy.

You represent and warrant that, with respect to all Inputs you submit:

• you own them or have all rights, licenses, and permissions required to submit them to the Service and to the third-party AI providers we use;
• they do not contain personal data of others unless you have a lawful basis to share such data;
• they do not contain content prohibited by our Acceptable Use Policy;
• they do not contain export-controlled, classified, or otherwise restricted information;
• they do not include the personal data categories defined as "special" or "sensitive" under GDPR (Article 9) unless absolutely necessary.

As between you and us, and to the extent permitted by applicable law, you own the Output that is generated for you. We assign and waive any claim of ownership we may have in the Output, subject to the limitations below.

Because AI models are probabilistic, similar or identical Outputs may be generated for other users from similar Inputs. We make no representation or warranty that any Output is unique, original, non-infringing, copyrightable, or fit for any particular purpose. You are solely responsible for reviewing each Output before relying on or publishing it.

You grant Skyera a worldwide, non-exclusive, royalty-free license to host, transmit, process, cache, and display Inputs and Outputs strictly to provide, secure, debug, and improve the Service for you, to bill for your usage, and to comply with legal obligations. We do not use your Inputs or Outputs to train our own machine-learning models, and we instruct our AI sub-processors to apply their no-training defaults where they offer one. Provider-specific data-handling terms are summarized in our Privacy Policy.

Your use of the Service is also governed by our Acceptable Use Policy, which is incorporated by reference and forms part of these Terms. Violation of that policy is a material breach of these Terms.

You may not, directly or indirectly, use the Service or any Output to (a) develop, train, fine-tune, evaluate, distil, benchmark, or improve any machine-learning model or AI system, (b) build any competing service, (c) systematically extract data from the Service through scraping, automated requests, or any other means, or (d) reverse engineer, decompile, or attempt to derive the source code, model weights, or underlying ideas of any component of the Service.

You may not attempt to circumvent rate limits, monthly allowances, or any other technical or contractual usage restriction, including by creating multiple accounts, using shared accounts, using bots, or routing traffic through residential proxies or other anonymizing infrastructure for the purpose of evasion.

We may, in our sole discretion and without prior notice, throttle, suspend, or terminate accounts, refuse to process specific Inputs, remove content, refuse refunds, report unlawful activity to authorities, and pursue any other remedy available at law or in equity for any actual or suspected violation.

To protect the Service, our users, and our third-party providers from fraud, abuse, and disproportionate cost, we operate automated systems including rate-limit analysis, usage-pattern anomaly detection, device and account fingerprinting, IP-based heuristics, and machine-learning classifiers. These systems run continuously and may trigger protective actions — additional verification challenges (such as captchas), temporary throttling, content restrictions, account suspension, refund denial, or termination — without prior notice and without a manual review.

You may appeal an automated decision by emailing [email protected] from the address associated with your account. We will review good-faith appeals within a reasonable time. To preserve the integrity of these detection systems, we are not required to disclose the specific signals, thresholds, or models we use, and we are not obliged to reverse a decision we determine to be substantially correct, even if individual signals would, in isolation, be ambiguous.

The Service, including all software, code, models we develop, designs, user interfaces, trademarks, logos, copy, documentation, and content (other than your Inputs and Outputs), is the property of Skyera or its licensors and is protected by copyright, trademark, trade-secret, and other intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

If you provide suggestions, feedback, or feature ideas, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use them for any purpose without obligation or compensation.

We respect intellectual-property rights. If you believe content on the Service infringes your copyright, follow the procedure in our Copyright & DMCA Policy.

The Service relies on third-party providers including Anthropic, Google, Perplexity, Stripe, Resend, Cloudflare, Google Tag Manager, Google Ads, and OAuth identity providers (Google, Twitter/X). Their availability, performance, terms, and privacy practices are outside our control. We are not responsible for any act, omission, outage, data loss, or policy of any third-party provider.

If a third-party provider becomes unavailable, degrades performance, changes pricing or policies, or terminates a service we depend on, we may suspend, limit, or change the affected features without liability and without obligation to refund.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, NON-INFRINGEMENT, TITLE, AND QUIET ENJOYMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

The Service does not provide and is not a substitute for professional advice (including legal, medical, financial, tax, academic, or psychological advice). Always consult a qualified professional for advice on your situation.

Nothing in these Terms excludes or limits any consumer right that cannot be excluded or limited under the law of your country of residence. Where mandatory consumer protection law applies, those provisions prevail to the extent of any conflict.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SKYERA, ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY (a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (b) LOSS OF PROFITS, REVENUE, GOODWILL, OPPORTUNITY, DATA, USE, OR REPUTATION; OR (c) COST OF SUBSTITUTE SERVICES, IN EACH CASE ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR ANY OUTPUT, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE LEGAL THEORY UNDER WHICH THE CLAIM IS BROUGHT.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED US DOLLARS (USD 100). THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

You acknowledge that the disclaimers and limitations of liability in these Terms reflect a reasonable and fair allocation of risk between you and us, that the fees for the Service reflect this allocation, and that without these provisions we would not be able to offer the Service at the price charged or at all.

You will defend, indemnify, and hold harmless Skyera, its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any claim, demand, loss, liability, damage, award, judgment, fine, penalty, cost, or expense (including reasonable attorneys' fees and court costs) arising out of or relating to (a) your Inputs, (b) any Output that you use, publish, or rely on, (c) your breach of these Terms or any policy incorporated by reference, (d) your violation of any law or third-party right, or (e) any misuse of the Service by you or anyone using your account.

We may, at our option, assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you will cooperate with us in asserting any available defenses. You may not settle any claim without our prior written consent if the settlement requires any admission or payment by us.

You may stop using the Service or cancel your subscription at any time through your account settings. Cancellation will not generate a refund for any portion of a paid period that has already begun, except where required by mandatory consumer-protection law (see Section 4.8).

We may suspend or terminate your account, the Service, or any feature at any time, with or without notice, including if (a) we reasonably believe you have violated these Terms or any policy incorporated by reference, (b) your account exposes us to legal risk, fraud, or chargeback, (c) we are required to do so by law or by a third-party provider, or (d) we discontinue the relevant feature. Suspension or termination for breach does not entitle you to a refund.

Sections that by their nature should survive will survive termination, including provisions on user content, intellectual property, fees already incurred, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.

These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

Subject to Section 13.4, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the competent courts of Ajman, United Arab Emirates, and you consent to the personal jurisdiction and venue of those courts.

To the extent permitted by law, all disputes must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or consolidated proceeding. The arbitrator or court may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

If you are a consumer in a jurisdiction whose mandatory law gives you the right to bring proceedings in the courts of your country of residence, nothing in this Section limits that right.

Any claim or cause of action arising out of or relating to these Terms or the Service must be filed within one (1) year after it accrues, or it is permanently barred, except where mandatory law provides a longer period that cannot be shortened by contract.

We may update these Terms from time to time. If a change is material we will notify you by email or in-product notice at least 14 days before it takes effect. The "Effective" date and version at the top of this page show the current version. Your continued use after the effective date constitutes acceptance.

We may send notices to the email address associated with your account or by posting in the Service. You may send notices to [email protected].

You may not assign or transfer these Terms or any of your rights or obligations without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

We are not liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, civil unrest, strikes, cyberattacks, internet or hosting outages, AI provider outages, government action, or pandemics.

These Terms (together with the documents incorporated by reference) constitute the entire agreement between you and us regarding the Service and supersede all prior or contemporaneous understandings on that subject. If any provision is held unenforceable, the remaining provisions will remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

Our failure to enforce any right or provision is not a waiver of that right or provision.
